By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, do not use our services.

1. Acceptance of Terms

By accessing or using the CrewHero platform (the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

To use our Services, you must:

Be at least 18 years old or have legal capacity in your jurisdiction to enter into a binding contract.
Agree to these Terms and all applicable laws and regulations.
Not be barred from using the Services under applicable laws.

3. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to provide accurate and up-to-date information during registration and keep your account information current. You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. Interfere with or disrupt the integrity or performance of the Services.
Attempt to gain unauthorized access to any part of the Services, user accounts, or networks.
Reverse engineer, decompile, or disassemble any portion of the Services.

5. Payment and Billing

Some parts of our Services may require payment. If you choose to use paid services, you agree to provide accurate and complete billing information, including your full name, address, payment method, and other relevant details. By providing a payment method, you authorize us to charge all fees incurred through your account.

All fees are exclusive of taxes, and you agree to pay any applicable taxes. We reserve the right to change our pricing or modify our paid Services at any time, but we will notify you of any price changes before they apply.

Note: If you use CrewHero's gift and rewards distribution features, additional terms apply. Please review our Gift & Rewards Terms, which supplement these Terms of Service and govern the use of digital gift cards and reward fulfillment through our platform.

6. Intellectual Property

All content, software, and materials available through the Services, including but not limited to text, graphics, logos, and software code, are the property of CrewHero Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content or material from our Services without our prior written permission.

7. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is otherwise harmful to CrewHero or other users. Upon termination, you must cease all use of the Services, and any outstanding fees or amounts owed to us will remain due.

8. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Services will be uninterrupted, error-free, or secure. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, CrewHero and its officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, arising from or related to your use of the Services, even if we have been advised of the possibility of such damages.

In no event shall our total liability exceed the amount you paid to us in the past six (6) months.

10. Indemnification

You agree to indemnify and hold harmless CrewHero and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Services, violation of these Terms, or infringement of any intellectual property or other rights of any third party.

11. Changes to the Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or by other means of communication. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Rockingham County, New Hampshire, and you consent to the personal jurisdiction of such courts.

13. SMS/Text Communications

13.1 Description of SMS Service

CrewHero may offer text message (SMS) notifications and alerts for schedule updates, assignment changes, maintenance tickets, and other internal communications. By providing your mobile number and opting in, you agree to receive these messages.

13.2 Opt-In

You can opt in to receive SMS messages by selecting or agreeing to receive notifications during account registration or within your profile settings.

You represent that you are the owner or authorized user of the mobile device on which messages will be received, and that you are authorized to approve the applicable charges.

13.3 Message Frequency

The frequency of SMS notifications may vary based on your usage, preferences, or organizational settings within CrewHero.

Typical use cases include shift reminders, asset or equipment updates, ticket status alerts, and occasional broadcast announcements for urgent or important internal news.

13.4 Stop & Opt-Out

You can cancel SMS messages at any time by replying with "STOP" to any text received from CrewHero. This will remove you from all CrewHero SMS campaigns unless you subsequently opt back in.

After sending "STOP," you may receive one final message confirming that you have been unsubscribed.

You may also manage your preferences in-app if partial opt-out options are provided; however, standard carrier compliance requires a global "STOP" to end all text notifications to that phone number.

13.6 Standard Rates & Charges

Your mobile carrier's standard message and data rates may apply. CrewHero is not responsible for any SMS charges that may be billed to you by your mobile carrier.

By opting in, you understand and agree that CrewHero's SMS messages will be transmitted via third-party telecommunications providers and that we are not liable for any issues arising from their systems.

13.7 User Conduct & Content

All messages sent via CrewHero must comply with our Use of Services policy (see Section 4). Sending spam, unsolicited marketing, or prohibited content can result in account termination.

CrewHero may monitor or moderate messages to ensure compliance with these Terms and to prevent unlawful or prohibited content.

13.8 Disclaimer

SMS communications are provided on an "as is" and "as available" basis. We cannot guarantee timely or secure delivery of text messages, as this depends on your wireless network operator's service.

13.9 Privacy

We respect your privacy. Any personal information you provide in connection with SMS notifications will be used solely to provide these messaging services and in accordance with our Privacy Policy.
